5. Intellectual Property Rights
The Website and all content, features, and functionality contained therein, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the selection and arrangement thereof (collectively, the "Content"), are the exclusive property of Costa Vida or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Payment Terms
When placing an order through our Website or otherwise purchasing goods or services from Costa Vida, you agree to the following payment terms:
6.1 Pricing and Fees
All prices displayed on the Website are in United States Dollars (USD) and are subject to change without notice. We strive to ensure that all pricing information is accurate; however, errors may occasionally occur. In the event that an item is listed at an incorrect price due to a typographical error or error in pricing information, we reserve the right to refuse or cancel orders placed for products listed at the incorrect price.
6.2 Payment Methods
We accept various forms of payment, including major credit cards, debit cards, and other payment methods as specified on the Website. 6.3 Taxes
You are responsible for all applicable federal, state, and local sales taxes, use taxes, and other taxes and fees associated with your purchases. Where required by law, we will collect and remit applicable taxes on your behalf.
6.4 Refunds and Cancellations
Our refund and cancellation policies are subject to our separate Refund Policy, which is incorporated herein by reference. In general, due to the perishable nature of food products, all sales are final once an order has been prepared or fulfilled. Please contact our customer service team at [email protected] for assistance with any order-related concerns.
7. Third-Party Links and Services
Our Website may contain links to third-party websites, services, or resources that are not owned or controlled by Costa Vida. We provide these links solely as a convenience and have no control over, and assume no responsibility for, the content, privacy policies, practices, or terms of service of any third-party websites or services.
We do not endorse or make any representations or warranties regarding any third-party websites, services, or resources. You acknowledge and agree that Costa Vida shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party website or service.
We strongly encourage you to read the terms and conditions and privacy policy of any third-party website or service that you visit or use.

- WARRANTIES THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, SOFTWARE, TEXT, GRAPHICS, LINKS, OR COMMUNICATIONS ON OR THROUGH THE WEBSITE;
- WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE OR SERVICES.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL COSTA VIDA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS, OR SUCCESSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;

IN NO EVENT SHALL COSTA VIDA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO COSTA VIDA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between Costa Vida and you. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
10. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Costa Vida, its parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, shareholders, agents, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to:

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Website and Services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.
11. Governing Law and Jurisdiction
These Terms and any disputes arising out of or related to these Terms, the Website, or the Services shall be governed by and construed in accordance with the laws of the United States and the applicable state laws of the state in which Costa Vida principally operates, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction.
To the extent that any dispute is not subject to the arbitration provisions set forth in Section 12 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website or Services shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you irrevocably consent to the personal jurisdiction and venue of such courts.
If you are a California resident, certain provisions of the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other applicable California consumer protection laws may apply to your use of our Services and to our collection and use of your personal information. Please refer to our Privacy Policy for further details.
Our Services and the operation of the Website are subject to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), and we are committed to complying with all applicable federal consumer protection laws and regulations enforced by the Federal Trade Commission (FTC).
12. Dispute Resolution and Arbitration
12.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute informally by contacting Costa Vida at [email protected] and providing a written description of the dispute, the harm suffered, and the relief sought. The parties agree to attempt to resolve the dispute informally for a period of thirty (30) days from the date of the initial notice. If the dispute is not resolved within this period, either party may pursue formal dispute resolution as described below.
12.2 Binding Arbitration
EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS OR PROHIBITED BY APPLICABLE LAW, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES, INCLUDING BUT NOT LIMITED TO THE VALIDITY, INTERPRETATION, ENFORCEABILITY, OR BREACH OF THESE TERMS, SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES THEN IN EFFECT, WHICH ARE INCORPORATED HEREIN BY REFERENCE.
The arbitration shall be conducted in the English language, and the arbitral award shall be final and binding on the parties. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The costs and fees of arbitration shall be allocated in accordance with the AAA Consumer Arbitration Rules.
12.3 Class Action Waiver
YOU AND COSTA VIDA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION OR PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OF MULTIPLE INDIVIDUALS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
12.4 Exceptions to Arbitration
Notwithstanding the foregoing, the following claims shall not be subject to arbitration and may be brought in a court of competent jurisdiction: (a) claims seeking emergency injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights; and (b) individual claims brought in small claims court that qualify under the applicable rules of such court.
13. Term and Termination
These Terms shall remain in full force and effect for as long as you use the Website or Services. We reserve the right, in our sole discretion, to:
- Terminate or suspend your access to all or any part of the Website or Services at any time, with or without cause, and with or without notice, effective immediately;
- Delete your user account and all associated data and content;
- Refuse service to any person or entity for any reason or no reason;
- Discontinue the Website or any part thereof at any time without notice or liability.
Upon termination of your account or access to the Services:
- All licenses and rights granted to you under these Terms will immediately terminate;
- You must immediately cease all use of the Website and Services;
- You must destroy any copies of Content in your possession;
- Any provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5, 8, 9, 10, 11, 12, and 14.
You may terminate your account at any time by contacting us at [email protected] with a written request for account deletion. Termination of your account does not relieve you of any obligation to pay outstanding amounts owed to Costa Vida.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. When we make changes to these Terms, we will:
- Update the "Last Updated" date at the top of this page;
- Post the revised Terms on the Website;
- Where required by applicable law or where we deem appropriate, provide additional notice through email notification to registered users or prominent notice on the Website.
Your continued use of the Website or Services after the effective date of any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately stop using the Website and Services and, if applicable, delete your account.
We encourage you to review these Terms periodically to stay informed about your rights and obligations. If any change to these Terms is not acceptable to you, you may terminate your use of the Website and close your account as described in Section 13.
15. Severability
If any provision, clause, or portion of these Terms is held to be invalid, illegal, unenforceable, or in conflict with any applicable law by a court of competent jurisdiction or arbitrator, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect as if the invalid or unenforceable provision had never been part of these Terms.
The invalidity or unenforceability of any provision of these Terms in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction, and shall not affect the validity or enforceability of any other provision of these Terms in any jurisdiction.
The parties agree that any court or arbitrator is hereby authorized to reform these Terms to the minimum extent necessary to make them enforceable, and the parties agree to be bound by the reformed Terms.
16. Additional Legal Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated herein by reference, constitute the entire agreement between you and Costa Vida with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter.
16.2 Waiver
No waiver by Costa Vida of any breach or default of any provision of these Terms shall be deemed a waiver of any subsequent breach or default, and shall not affect the other terms of these Terms. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.3 Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of Costa Vida. Costa Vida may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this provision shall be null and void.
16.4 Force Majeure
Costa Vida shall not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms that is caused by events outside of Costa Vida's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, labor disputes, power outages, internet outages, or supply chain disruptions (each, a "Force Majeure Event"). Costa Vida's performance under these Terms shall be suspended for the duration of the Force Majeure Event.
16.5 Electronic Communications
By using our Website and Services and communicating with us electronically, you consent to receive communications from Costa Vida electronically, including via email and by posting notices on the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.
16.6 Headings
The section headings used in these Terms are for convenience and organizational purposes only and shall not affect the interpretation or construction of these Terms.
16.7 No Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Costa Vida, except as otherwise expressly stated herein. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and Costa Vida.
